AquaComply Terms of Use

AquaComply LLC · Version 1 · Effective October 23, 2026

1. Who these terms are between

These terms are an agreement between AquaComply LLC, a Nevada limited liability company ("we", "us") and:

If you use AquaComply for a water system, you confirm that you are its chief operator, a member of its governing board, or a person either of them has authorised, and that you have authority to accept these terms for it. If you do not have that authority, do not use AquaComply for that system.

By subscribing, or by opening a water system in AquaComply, you accept these terms. If you do not accept them, do not use AquaComply.

2. What AquaComply is, and what it is not

AquaComply is a tool for keeping a water system's records and tracking its deadlines. It includes schedules, forms, calculators, maps, notice templates, a library of standard operating procedures (SOPs), and tools that import public data from state and federal drinking-water databases.

AquaComply is not:

3. Your responsibilities

The water system is responsible for operating its system and for complying with its permit and the law. In particular:

3.1 Deadlines and requirements. AquaComply's schedules, limits, citations and calculations are general and may be wrong, incomplete or out of date for your system. You must confirm every deadline, limit and requirement with your regulator. If AquaComply and your regulator differ, your regulator governs.

3.2 Imported data. Data that AquaComply imports from state or federal sources comes from those agencies' public systems. We do not control it and do not check it. It may be missing, delayed or wrong. You must check it against your own records.

3.3 Procedures (SOPs). The SOP library is general material. No SOP is in force for a water system until its chief operator or governing board has reviewed and adopted it in AquaComply. By adopting an SOP, the water system confirms that it has reviewed the SOP, that the SOP fits the system, and that the SOP is now the system's own procedure. An SOP that has not been adopted must not be carried out, and the review copy is for review only.

3.4 Safety. Many procedures involve hazards that can cause serious injury or death, including confined spaces, excavations, traffic, electricity, chlorine and other chemicals, and work at height. AquaComply does not make that work safe. The water system, as employer, is responsible for its safety programme, for training and equipping its people, for complying with occupational safety law, and for deciding whether a task should be done at all. Nothing in AquaComply replaces site-specific hazard assessment or the judgment of a qualified person at the site.

3.5 Calculations. Check every result from a calculator (for example disinfection contact time, chemical dose, or water loss) before acting on it.

3.6 Maps and locations. Map locations of mains, valves and other assets are approximate and may be wrong. Do not use them to locate buried utilities. Call 811 before you dig.

3.7 Notices and reports. AquaComply prepares drafts of public notices, reports and forms. It does not send or file anything with a regulator, a laboratory or the public. The water system is responsible for the content, timing and delivery of everything it sends or files.

3.8 Your people. The water system is responsible for everyone who uses AquaComply for it, including invited users and contract operators, and for keeping the name of its responsible chief operator or board member current.

3.9 Typed signatures. AquaComply records typed names as signatures (for example on the responsible-person statement and on SOP reviews). You agree that a typed name is that person's signature, and you are responsible for making sure only that person types it.

4. Your data

4.1 Where it is. What you enter is stored on your device. We do not receive it. If you turn on Cloud Sync, it is also stored with our cloud-sync provider so that you and the people you invite can share it.

4.2 Ownership. The water system's data belongs to the water system. We claim no rights in it beyond what is needed to provide Cloud Sync.

4.3 Backups are your responsibility. Data kept only on a device is lost if the device is lost, reset, or the app or its storage is removed. Use the app's backup feature regularly and keep the backup somewhere else. We cannot recover data that was stored only on your device. Many of these records must be kept by law for years; keeping them is the water system's responsibility.

4.4 Requests to our servers. Some features send a limited request to our server or to a public service: importing a system sends its public water system ID to a state or federal database through our server; looking up an address sends that address to a geocoding service; viewing the map requests map images for the area viewed. See the Privacy Policy.

4.5 Privacy. The Privacy Policy at https://aquacomply.app/privacy.html describes what is collected. It is part of these terms.

5. Subscription, billing and cancellation

5.1 Where you buy. Subscriptions are sold through the Apple App Store and Google Play. The store, not us, charges you, and its terms apply to the purchase.

5.2 Automatic renewal. A subscription renews automatically at the price shown when you subscribed, for the same period (one month or one year), until you cancel. If a free trial is offered, you are charged when the trial ends unless you cancel before then.

5.3 How to cancel. Cancel in your store account settings (Apple: Settings > Apple Account > Subscriptions. Google: Play Store > Payments & subscriptions). Cancel at least 24 hours before the period ends to avoid the next charge. Deleting the app does not cancel a subscription.

5.4 Refunds. Refunds are handled by the store under its policy. We do not issue refunds for store purchases, except where the law requires.

5.5 Price changes. If the price changes, the store will tell you before the change applies to you, and you can cancel.

5.6 After a subscription ends. When a subscription ends, you can still open AquaComply to view and export your records, but you cannot add or change them.

6. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use AquaComply for the internal operations of the water systems you are responsible for, while your subscription is active and you follow these terms. You may not copy, resell, sublicense, reverse engineer or republish AquaComply or its content, and you may not use the SOP library or other content to build a competing product. Adopted SOPs and exported records are the water system's to keep and use for its own operations.

AquaComply includes open-source software, which is licensed under its own terms.

7. No warranty

AquaComply is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that AquaComply is error-free, complete, current, or suitable for your system; that its schedules, procedures or calculations are correct; that imported data is accurate; or that it will be available without interruption.

Some states do not allow some of these disclaimers, so some may not apply to you.

8. Limit of liability

To the fullest extent the law allows:

8.1 We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, fines, penalties, enforcement costs, or the cost of substitute services, however caused and even if we were told they were possible.

8.2 Our total liability for all claims relating to AquaComply is limited to the amount paid for the subscription for the affected water system in the 12 months before the claim arose.

8.3 These limits apply to every kind of claim (contract, negligence or other tort, statute or otherwise) and are a basis of the price.

8.4 Nothing in these terms limits liability that cannot be limited by law.

9. Indemnity

To the extent the law allows, the water system will defend and indemnify AquaComply LLC and its owners, employees and contractors against claims, losses and costs (including reasonable attorneys' fees) brought by anyone else that arise from: the operation of the water system; the water it delivers; work carried out by its people or contractors, whether or not an SOP was followed; its notices, reports and filings; its data; or its breach of these terms.

Public agencies. If the water system is a public agency whose power to indemnify or to accept a limit of liability is restricted by law, this section and section 8 apply only to the extent that law allows.

10. Changes to AquaComply

We may add, change or remove features, schedules, SOPs and other content. When an SOP master changes, your adopted copy does not change until the water system accepts the revision. We may stop offering AquaComply; if we do, we will give reasonable notice so you can export your records.

11. Suspension and termination

You may stop using AquaComply at any time. We may suspend or end access if you breach these terms or misuse AquaComply. Sections 3, 4.2, 4.3, 7, 8, 9, 13 and 14 continue after these terms end.

12. Changes to these terms

We may change these terms. If a change is material, AquaComply will ask you to accept the new terms before you continue. The version and date are shown at the top.

13. Disputes

13.1 Governing law. The law of the State of Nevada governs these terms, without regard to its conflict-of-laws rules.

13.2 Talk to us first. Before starting any proceeding, the party with the complaint will send a written description to the other (thealy@aquacomply.app for us) and allow 30 days to resolve it.

13.3 Arbitration. Any dispute that is not resolved will be decided by binding individual arbitration administered by the American Arbitration Association (AAA) under its rules, in Clark County, Nevada or by video. Either party may instead use small-claims court. You and we each give up the right to a jury trial and to take part in a class action. You may opt out of this section by emailing thealy@aquacomply.app within 30 days of first accepting these terms.

13.4 Time limit. A claim must be started within one year after it arose, unless the law requires a longer period.

13.5 Water systems in California. If the water system is in California, or a California court decides a dispute about these terms:

(a) Nothing in these terms limits or excludes liability for fraud, willful injury, gross negligence or violation of law, as California Civil Code section 1668 provides. Sections 8 and 9 apply to the fullest extent California law allows; any part a court will not enforce is reduced only as far as necessary, and the rest stays in force.

(b) A public agency's obligations under sections 8, 9 and 13 apply only as far as the laws that govern that agency allow.

(c) Under California Civil Code section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

14. General

14.1 Whole agreement. These terms, the Privacy Policy, and the responsible-person statement signed in AquaComply are the whole agreement about AquaComply. If they conflict, these terms govern.

14.2 Severability. If part of these terms is not enforceable, the rest stays in force.

14.3 Transfer. You may not transfer these terms. We may transfer them to a successor.

14.4 Not for children. AquaComply is for adults using it for work. It is not directed to anyone under 18.

14.5 Apple. If you got AquaComply from the Apple App Store: these terms are between you and us, not Apple; Apple is not responsible for AquaComply, its support, or any claim about it, and has no warranty obligation beyond refunding the purchase price where the app fails a warranty that the law does not let us disclaim; Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them; you confirm you are not in a country, or on a list, that United States law bars from using the app.

14.6 Google. If you got AquaComply from Google Play, Google is not a party to these terms and is not responsible for AquaComply.

14.7 Contact. AquaComply LLC, 855 N Stephanie Street, Unit 2726, Henderson, NV 89014, thealy@aquacomply.app.
